ANNUALLY RE-FIXED, NOT PERMANENT — Commercial Law (Royal Decree 55/1990) Art. 80 gives a creditor the right to interest on a commercial loan or debt, but leaves the figure to be set 'every year' by the Ministry of Commerce, Industry and Investment Promotion in agreement with the Oman Chamber of Commerce and Industry, having regard to the term of the loan, its purpose and its risk. The current instrument is Ministerial Decision 409/2025, published in Official Gazette issue 1616 on 5 October 2025 and expressed to run for ONE YEAR from publication. The rate has held at 6% across successive decisions (473/2023, 456/2024, 409/2025), but each is a fresh, time-limited decision rather than a standing rule — a lapsed decision is not authority for the current year. AGREEMENT CAN ONLY GO DOWN, EXCEPT BY MINISTERIAL CONSENT: the parties may agree less than 6%; going above it requires the Minister to agree with the Oman Chamber of Commerce and Industry, case by case, and only where the loan is long-term, its purpose contributes to economic development, or the risk is high. ON LATE PAYMENT: Art. 80 provides that where the debtor fails to repay on the due date, the creditor is entitled to exact the agreed interest for the period of delay — so the same rate carries through default rather than a separate penalty rate applying. Art. 81 allows SUPPLEMENTARY compensation on top where the creditor's damage exceeds that return, assessed by the court. Art. 82: interest falls due at the end of the year for loans of a year or more, and on the due date for shorter loans, unless commercial or banking custom requires otherwise. Art. 84: the court may not grant a commercial debtor time to pay or instalments except as provided by law or in cases of absolute necessity, and then only if the creditor suffers no serious damage. Art. 92: obligations between merchants prescribe in ten years from the due date. WHO IS OUTSIDE THE 6%: Art. 2 of the Decision disapplies it to loans and facilities from banks, financing companies and asset-leasing companies licensed by the CENTRAL BANK OF OMAN, to commercial debts obtained abroad, and to securities — CBO-licensed lenders price under the Central Bank's own rules, not this ceiling.
